User agreement.

(the Agreement) sets forth the terms and conditions on which you will be allowed to use Canvas2u (the service) supplied by Philip Bourne Ltd (the company). The entity that purchases a licence to use the Service is the Customer.


Binding Contract. This Agreement is a contract between the Customer and Philip Bourne Ltd and applies to your use of Canvas2u services (the Service). You must read, agree with, and accept all of the terms and conditions contained in this Agreement and in the Canvas2u Privacy Policy in order to use the Service. This Agreement is effective 1 February 2014 for current users, and upon acceptance for new users. We reserve the right to amend this Agreement at any time by posting a revised version on our website. The revised version will be effective at the time we post it. Philip Bourne Ltd treats the Security of customer’s personal Information very seriously, ensuring that your privacy is protected at all times.

The service is made available to the customer under licence. A licence allows the customer lifetime use of the service.

Philip Bourne Ltd does not store any credit card information anywhere on our system. Credit Cards are processed directly via PayPal.

Philip Bourne Ltd will not sell, distribute or lease your personal information to third parties unless we have your permission or are required by law to do so. This is in accordance with the Data Protection Act (1998).

A customer is entitled to a refund within 14 days of their initial purchase date. Once a refund is issued, Philip Bourne Ltd will delete the customer’s details/databases and will deactivate the software. Philip Bourne Ltd will not provide any refunds after the initial 14 day period.

A customer is entitled to support until the service is confirmed to be working and stable, any support thereafter is at the discretion of Philip Bourne Ltd.

Licences are not for Resale, unless specified by a separate agreement.

Philip Bourne Ltd reserves the right to suspend or cancel a customers access to any or all of our services, where Philip Bourne Ltd concludes that an account has been used inappropriately.

Philip Bourne Ltd will suspend or cancel access to the service where the customer: initiates a payment card charge back or payment fails to clear; attempts to resell or sublease any software or services without prior written permission; attempts to deny access to other users; uses excessive server resources; uses obscene, offensive or inflammatory language when contacting the company or dealing with the company on any public forum; infringes copyrights or trade marks; promotes or assists any illegal activity, copies software or script.

All logos, domain names, website content, script and other intellectual property that entail our products and services are the exclusive property of Philip Bourne Ltd. You will not copy, imitate, modify, alter, amend or use any of the Philip Bourne Ltd intellectual property without our prior written consent.

Customers must not to use any robot, spider, or other automatic device or routine to access or interface with the Canvas2u website.

We may have to suspend the Service if we have to deal with technical problems. We will contact you to let you know in advance where this occurs, unless the problem is urgent or an emergency. This does not affect your obligation to pay for any invoices we have already sent you. Philip Bourne Ltd will not be responsible for any loss of profits, sales, business, or revenue; loss of business opportunity; loss of anticipated savings; loss of goodwill; or any indirect or consequential loss due to the Customer not being able to access the Service for any reason.

In the unlikely event that there is any defect with the Service please contact us via email and tell us as soon as reasonably possible; please give us a reasonable opportunity to repair or fix any defect; and we will use every effort to repair or fix the defect as soon as reasonably practicable.

Excessive Usage. Philip Bourne Ltd may suspend or cancel a Customers usage of the service if the usage is excessive. Examples of an Excessive User include, but are not limited to, a user that has made 500 download requests in a 24 hour period, or has 50000 ebay listings. Philip Bourne Ltd will give 7 days notice to an excessive user before suspension. Any monies paid will be refunded.

The Customer agrees that Philip Bourne Ltd will not be responsible for any loss of profits, sales, business, or revenue; loss of business opportunity; loss of anticipated savings; loss of goodwill; or any indirect or consequential loss for any reason.

The parties irrevocably agree that the courts of England have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
